The Vibe Code Project — Intensive 1: Mutual Confidentiality Agreement

The methods, tools and shortcuts taught are confidential, and so is whatever each participant shares about their own business, offer and ideas. This protection runs both ways and continues after the programme ends.

This Agreement is made between: (1) Lala Media Ltd, trading as The Purpose Code ("the Organiser"); and (2) the undersigned participant in The Vibe Code Project — Intensive 1: Build & Ship ("the Participant"). The Organiser and each Participant are together referred to as "the Parties". Each Participant also enters into these obligations in favour of every other Participant in the same cohort.

Effective date: the date of signature (or the date of purchase where acceptance is given at checkout, whichever is earlier).

1. Purpose. The Parties are taking part in a small, high-touch group intensive in which the Organiser shares proprietary methods, and Participants share details of their own businesses, offers and works in progress. This Agreement protects all such information.

2. Definition of Confidential Information. "Confidential Information" means any non-public information disclosed before, during or after the programme, in any form, including but not limited to: the Organiser's frameworks, prompts, processes, tools, "hacks" and shortcuts; session content, recordings and materials; and each Participant's business plans, offers, ideas, tools, data, customers and any information shared in sessions, chats or breakout rooms.

3. Mutual Obligations. Each Party agrees to: (a) keep all Confidential Information strictly confidential; (b) use it only for their own participation in and benefit from the programme; (c) not disclose, publish, record (beyond the official recordings), reproduce or share it with any third party without the prior written consent of the disclosing Party; and (d) take reasonable care to protect it.

4. Exclusions. Confidential Information does not include information that: (a) is or becomes public through no breach of this Agreement; (b) was lawfully known to the receiving Party before disclosure; (c) is independently developed without use of the Confidential Information; or (d) must be disclosed by law or a competent authority (with prior notice to the disclosing Party where lawful).

5. Intellectual Property. Nothing in this Agreement transfers ownership of any intellectual property. The Organiser retains all rights in its methods, materials and tools. Each Participant retains all rights in their own work. Tools and outputs a Participant builds during the programme belong to that Participant.

6. No Solicitation of Disclosed Opportunities. No Party will use another Party's Confidential Information to copy, replicate or compete with that Party's specific disclosed offer or tool.

7. Term. The obligations begin on the Effective Date and continue for three (3) years afterwards, except for any information that is a trade secret, which remains protected for as long as it qualifies as such.

8. General. This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. It is the entire agreement between the Parties on this subject. If any part is found unenforceable, the rest remains in force. No failure to enforce any term is a waiver of it.
